2. Using this website
You may view, download and print pages from this site for your own use. You may not republish material from this site, sell or sub-license it, or reproduce it for a commercial purpose without written permission. All text, design, code, imagery and structure on this site are protected by copyright.
3. Prices shown on this site
Prices published on the pricing and service pages are starting figures for a standard build of the described shape, exclusive of VAT. They are an invitation to discuss a project, not a binding offer.
Totals produced by the pricing calculator are indicative. The binding figure is the one confirmed in a written proposal following an initial consultation. Once that written figure is accepted, it is fixed for the agreed scope and does not change unless you request a change to that scope.
VAT is applied according to the rules that apply between a UK-registered company and your business in your jurisdiction. The treatment applicable to you appears on your written quote.
4. How projects run
Each engagement is governed by a written proposal setting out the scope, the price, the payment schedule and the timeline. Where these terms and a signed proposal conflict, the proposal takes precedence.
Projects are typically invoiced in instalments tied to milestones. Work begins once the deposit is received and the required materials — text, images, access credentials — have been supplied. Delays in supplying materials extend the timeline correspondingly.
Two rounds of revisions are included at each defined stage. Further revisions, or changes to work already approved, are quoted separately before being carried out.
5. Your responsibilities as a client
You confirm that any text, images, logos, product data or other material you supply is either owned by you or licensed for the use intended, and that its use does not infringe any third party's rights. You retain responsibility for the accuracy and legality of content you supply, including any claims made about your own products or services.
You are responsible for maintaining the registration of your own domain name and for any third-party subscription your site depends on.
6. Ownership and intellectual property
On settlement of the final invoice, ownership of the delivered design and source code transfers to you in full, and the project repository is transferred to your control on request.
Reserved from that transfer are: generic components, libraries and internal tooling used across multiple projects, which remain the property of Thomas Gere and are licensed to you perpetually and without charge for use within the delivered project; and any third-party software or font subject to its own licence.
Unless you object in writing, completed work may be shown in the portfolio on this site and in professional profiles.
7. Payment
Invoices are payable within fourteen days of issue unless the proposal states otherwise. Overdue amounts may attract statutory interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.
Work on a project may be suspended where an invoice remains unpaid beyond thirty days. Where work is suspended for non-payment, no liability arises for the resulting delay.
8. Ongoing plans and cancellation
Care and maintenance plans run monthly and may be cancelled with thirty days' written notice, taking effect at the end of the current billing period. Annual plans run for their full term.
Monthly SEO plans carry a minimum term of six months, stated at the outset, because meaningful evaluation is not possible over a shorter period. After the minimum term they continue monthly with thirty days' notice.
Fees already paid for a period that has commenced are not refundable, though any work already delivered remains yours.
9. What is not promised
No specific search ranking, traffic level, conversion rate, revenue figure or placement within an AI-generated answer is guaranteed, and any such guarantee offered elsewhere in this industry should be treated with suspicion. Search engines and generative systems are operated by third parties who change their behaviour without notice.
What is committed to is the work described in your proposal, carried out competently and reported honestly, including when the results are disappointing.
10. Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.
Subject to that, total liability arising from an engagement is limited to the total fees paid by you under that engagement in the twelve months preceding the claim. Liability is excluded for indirect or consequential loss, for loss of profit, revenue, business, goodwill or anticipated savings, and for loss of data where you have not maintained your own backups in accordance with the care plan in force.
11. Third-party services
Delivered projects may rely on third-party services including hosting, payment gateways, content systems, analytics and form delivery. These operate under their own terms and no responsibility is accepted for their availability, pricing changes or discontinuation, though reasonable assistance will be given in migrating away from any that become unsuitable.
12. Governing law
These terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Where you contract as a consumer rather than a business, this does not deprive you of the protection of mandatory provisions of the law of your country of residence.
13. Changes to these terms
These terms may be revised from time to time. The version in force at the date of your proposal governs that engagement. Continued use of this website after a revision constitutes acceptance of the revised terms in respect of the website itself.
